Terms of Service
By accepting this agreement, you (“Writer”) confirm that you have read and understood the terms outlined below and agree to be bound by them.
You (“Writer”) have created a Script, Pitch, Outline, or other Creative Document (the “Work”) for potential future productions such as theatrical films, TV movies, TV series pilots, half-hour or hour-long scripts, web series, or short films. You are submitting the Work to The Missile Site Script Consulting Service (“TMS”, aka script consultant “Mike Thompson”) in an electronic format via email for evaluation and creative feedback. This submission is subject to the terms and conditions outlined in this "Terms and Conditions/Submission Agreement."
You represent and warrant that you are at least eighteen (18) years old, are the sole owner and author of the Work, and have full rights to submit it to TMS under these terms. You further confirm that no other parties' consent is necessary to fully exploit the Work, and that the rights granted in this agreement do not infringe on any third party’s rights, including copyright. You agree to comply with all relevant copyright and other applicable laws in connection with TMS’s consultation, including any notices or restrictions in this Terms and Conditions/Submission Agreement.
You have no obligations to TMS except as outlined in this agreement, and no other obligations or implied obligations exist between you and TMS. There are no refunds for TMS’s screenplay consultation services.
TMS acknowledges that you (and/or your heirs) fully own the Work and hold all rights to the material.
It is your sole responsibility to protect the Work, including registering the Screenplay with the Writers Guild of America or the United States Copyright Office. TMS strongly recommends that you register your Work with either or both entities.
If the Work is submitted by more than one person, the term “Writer” in this agreement shall refer to "Writers," and this agreement shall apply jointly and severally to all submitting parties (“Writers”).
In consideration of the mutual promises in this agreement, the parties (TMS and Writer) agree as follows:
All information shared by you with TMS, in writing or orally, regarding the Work, including the Work itself, shall be treated as confidential and will be considered Confidential Information. This includes:
(I) Documents created by TMS that contain or comment on any Confidential Information received from you.
(II) Any written samples of the Work (e.g., Screenplay or Treatment) submitted by you, along with any information derived from them.
Confidential Information does not include:
(I) Information that becomes publicly available through no fault of TMS or anyone else under a confidentiality obligation to you.
(II) Information that TMS can demonstrate was already known to them before being disclosed by you.
(III) Information independently developed by TMS without access to your Confidential Information.
(IV) Information that you disclose to others on a non-confidential basis.
You will provide Confidential Information to TMS solely for the purpose of evaluating and editing the Work.
The Confidential Information will remain your property and will not be disclosed by TMS.
TMS agrees to handle the Confidential Information with the same level of care as TMS applies to its own confidential materials.
TMS will inform you of any decisions regarding the further development of the Work. However, TMS will not disclose any Confidential Information to third parties without your consent.
No Guarantee of Professional Advice or Results: TMS is not responsible for any direct or indirect damages arising from your participation in the consultation. This includes any economic losses or consequences resulting from the use (or inability to use) the materials or advice provided. You are solely responsible for your decisions, actions, and results, and by participating in the consultation, you agree not to hold TMS liable for any outcomes, now or in the future.
Given TMS’s position in the industry, TMS’s consultant, Mike Thompson, is often exposed to similar creative works. You agree to indemnify and hold TMS and Mike Thompson harmless from any claims or liability arising from similarities between your Work and other materials.
This agreement does not constitute a sale, option, or offer to buy the Work, nor does it imply any obligation for you to grant TMS any rights. Any creative feedback, notes, or suggestions provided by TMS are part of the consultation service and are given freely. You are under no obligation to use any suggestions, and TMS holds no claim over them.
The consultation services provided by TMS, whether through telephonic or electronic data, may not be used, distributed, or referred to in any public or private setting. You may not use TMS’s or Mike Thompson’s name to endorse or promote any projects without express permission.
This agreement constitutes the entire understanding between the parties and cannot be modified except by a written agreement signed by both parties.
This agreement can only be amended, terminated, or modified in writing and must be signed by both you and TMS’s consultant, Mike Thompson. The agreement shall be governed by the laws of the State of Washington, without regard to its conflict of law provisions.
The Missile Site provides script consulting as an informational, educational, and training service. We are not a talent agency, talent management firm, production company, sales agent, or involved in talent representation or film/television production. The Missile Site does not guarantee representation by an agent, manager, lawyer, or any other representative. We also do not guarantee employment for writers, directors, or producers, nor do we offer any kind of employment opportunities or career advancement. The Missile Site does not purchase or attempt to secure the purchase of a writer’s material. Our services are not considered employment opportunities or offers, either within the entertainment industry or otherwise. The employment status of the screenwriting consultant working for The Missile Site does not guarantee any future improvement, employment, representation, or career development for our clients.
